OVERVIEW
These Terms of Use (“Terms”) govern your access to and use of Atuiqe’s websites, event listings, ticketing pages, communications, and related services (collectively, the “Services”), as well as your purchase, possession, transfer, acceptance, resale, or use of tickets, wristbands, credentials, products, experiences, add-ons, and services offered by or on behalf of Atuiqe, LLC (“Atuiqe,” “we,” “us,” or “our”) in connection with any event produced, promoted, operated, managed, or serviced by Atuiqe (each, an “Event”).
These Terms also incorporate by reference additional policies, rules, and disclosures that may apply depending on the Event and the Services used (collectively, “Other Policies”), including without limitation: purchase policies, transfer policies, resale rules, venue/house rules, safety policies, accessibility procedures, code of conduct, prohibited items lists, age policies, marketing policies, and any Event-specific rules posted on the Event page, provided in checkout, sent to ticket holders, or communicated onsite.
If these Terms conflict with any Other Policies, the Other Policies govern only for that conflict, except that Sections 14–16 (Disputes/Arbitration/Class Action Waiver; Exclusive Seattle/King County Venue; Governing Law) control to the fullest extent permitted by law.
NOTICE REGARDING ARBITRATION AND CLASS ACTION WAIVER:
These Terms contain a mandatory individual arbitration agreement and a class action waiver (Section 14). You and we agree that most disputes must be resolved by binding arbitration rather than in court. By agreeing to arbitration, you and we each waive any right to a jury trial and any right to participate in a class action.
NOTICE REGARDING SEATTLE/KING COUNTY VENUE:
If arbitration does not apply or is determined unenforceable for a particular claim, then you agree that any lawsuit or court proceeding may be brought only in King County, Washington (Seattle) (Section 15).
NOTICE REGARDING FUTURE CHANGES:
We may update these Terms. The Effective Date tells you when they were last revised. Your continued use of the Services or purchase/use of Tickets after any update constitutes acceptance of the updated Terms for that use/purchase.
1. THIS IS A CONTRACT BETWEEN YOU AND US
These Terms are a legally binding agreement between you (“you” or “your”) and Atuiqe, LLC. You and Atuiqe are each a “party,” and together the “parties.”
Definitions
“Event” includes any live, in-person, hybrid, or virtual event produced, promoted, hosted, managed, or serviced by Atuiqe, including pre-events, after-parties, activations, load-in/out windows (where applicable to credentialed persons), and any related experiences.
“Ticket” includes digital or physical tickets, passes, QR codes, barcodes, credentials, wristbands, badges, lanyards, guest lists, comps, and any other admission mechanism.
“Add-ons” may include upgrades, meet-and-greets, lounge access, merch bundles, parking, re-entry privileges, premium viewing, or other experiences.
“Venue” means the place where an Event occurs, including all surrounding areas under Event control (queues, entrances, lawns, parking lots, vendor areas, and restricted zones).
“Platforms” means third-party ticketing and payment providers and their related systems used to sell or administer Tickets and communications.
“Atuiqe Business Services” means Atuiqe’s event production and management services, including planning, staffing, permitting coordination, vendor coordination, sponsorship fulfillment, marketing, ticketing operations, customer support, on-site management, vendor/merchant programs, and other event operations services performed for clients and partners.
2. OTHER POLICIES; EVENT RULES; VENUE RULES; OPERATIONAL AUTHORITY
You acknowledge and agree that your attendance at any Event and your use of the Services are conditioned upon your full compliance with all rules, policies, procedures, and instructions, whether written or verbal, including without limitation:
All Event-specific rules, disclosures, restrictions, and requirements published on the Event listing, checkout pages, ticket confirmation emails, ticket PDFs, signage, mobile notifications, or otherwise communicated by Atuiqe before or during the Event;
All venue rules, house policies, conditions of entry, and posted signage, including those related to safety, security, capacity, accessibility, prohibited items, alcohol service, emergency procedures, and crowd management;
All instructions issued by Atuiqe personnel, venue staff, security personnel, medical staff, emergency responders, and law enforcement, whether before, during, or after the Event; and
All applicable federal, state, and local laws, ordinances, and regulations.
These rules and policies may govern, without limitation: alcohol consumption, intoxication standards, crowd behavior, queuing, capacity limits, entry and exit flow, restricted areas, emergency evacuation, shelter-in-place procedures, lost & found processes, bag policies, credential use, health and safety protocols, photography restrictions, and prohibited items.
Atuiqe reserves the sole and absolute right to interpret, apply, enforce, modify, supplement, or waive any Event rules or operational procedures at any time, with or without prior notice, when deemed necessary or appropriate for safety, security, crowd control, production needs, weather conditions, permitting compliance, accessibility considerations, public health concerns, or operational efficiency. Failure to comply may result in immediate denial of entry, removal from the Event, revocation of credentials, or ejection without refund, and may include referral to law enforcement.
3. ELIGIBILITY; AGE POLICIES; MINORS; ALCOHOL-RESTRICTED AREAS
Unless otherwise expressly stated for a particular Event, you must be at least eighteen (18) years of age to purchase Tickets. Certain Events, areas, credentials, benefits, or experiences may be restricted to persons twenty-one (21) years of age or older, including alcohol service areas, VIP lounges, sponsor spaces, and other controlled-access zones.
Atuiqe reserves the right to require valid government-issued photo identification at entry or at any time during the Event to verify age, identity, or eligibility. Failure or refusal to present acceptable identification may result in denial of entry to age-restricted areas or removal from the Event without refund.
If minors are permitted to attend an Event, they must be accompanied and supervised at all times by a parent or legal guardian. Parents and guardians assume full and sole responsibility for minors in their care, including supervision, conduct, safety, compliance with rules, medical needs, and any claims, damages, or liabilities arising from the minor’s presence or actions. Atuiqe assumes no duty of care or supervision for minors.
4. ACCOUNTS; ACCURATE INFORMATION; SECURITY; FRAUD
Certain Services require the use of third-party ticketing or payment Platforms. You agree to provide accurate, current, and complete information and to maintain the confidentiality and security of your login credentials. You are solely responsible for all activity conducted through your account, whether authorized by you or not.
Atuiqe and/or the Platform may employ fraud detection, identity verification, device fingerprinting, behavioral monitoring, and other security measures. We reserve the right, in our sole discretion, to refuse service, cancel orders, void Tickets, revoke admission, restrict accounts, or deny future purchases if we reasonably suspect fraud, unauthorized resale, circumvention of policies, chargeback abuse, or misuse of accounts, devices, or credentials.
Atuiqe is not responsible for losses arising from compromised accounts, shared devices, or your failure to safeguard login credentials.
5. TICKET IS A REVOCABLE LICENSE; NO PROPERTY RIGHT
A Ticket constitutes a revocable, limited, non-transferable license to attend the applicable Event solely for the purposes and access level designated by the Ticket. Tickets do not confer ownership, property rights, or guaranteed access.
Atuiqe reserves the right to revoke, cancel, void, or deny use of any Ticket at any time, without refund, for violations of these Terms, Event rules, venue policies, safety requirements, or applicable law, or if the Ticket is determined to be counterfeit, duplicated, fraudulently obtained, resold in violation of policy, or otherwise misused.
6. PURCHASE TERMS; ALL SALES FINAL; FEES
6.1 All Sales Final; No Refunds or Exchanges
Unless otherwise expressly stated in writing by Atuiqe for a specific Event, ALL SALES ARE FINAL.
Tickets, Add-ons, upgrades, credentials, wristbands, experiences, and any associated products or services are non-refundable and non-exchangeable, whether purchased online, onsite, in advance, or on the day of the Event, except where a refund is expressly required by applicable law.
You acknowledge and agree that your purchase decision is made voluntarily and with full awareness that Event details, programming, schedules, performers, amenities, weather conditions, crowd size, and venue conditions may vary or change. No refunds or exchanges will be provided due to dissatisfaction with the Event, changes in lineup, schedule adjustments, weather conditions, production elements, personal circumstances, illness, transportation issues, or inability to attend.
Failure to attend an Event, late arrival, early departure, removal for rule violations, denial of entry, or refusal of admission does not entitle you to a refund or credit.
6.2 Fees; Non-Refundability of Fees
Orders may include, without limitation, Platform service fees, processing fees, facility fees, administrative fees, delivery fees, convenience fees, or other charges imposed by Atuiqe, the ticketing Platform, payment processors, venues, or third-party partners.
To the maximum extent permitted by law, ALL FEES ARE NON-REFUNDABLE, regardless of:
Event cancellation, postponement, rescheduling, or relocation;
Changes to Event programming, lineup, schedule, or amenities;
Force majeure events;
Denial of entry or removal for rule violations; or
Any other reason.
Fees compensate for services already rendered, including ticketing infrastructure, processing, fraud prevention, customer support, staffing, and operational costs, and are earned upon purchase.
6.3 Order Limits; Multiple Accounts; Cancellation Authority
Atuiqe reserves the right, in its sole discretion, to impose purchase limits per person, account, household, device, IP address, payment method, billing address, email address, or other identifier.
Orders that exceed stated or unpublished limits, or that appear to be placed using multiple accounts or methods to circumvent limits, may be cancelled, reduced, or voided without notice and without refund, including associated fees.
6.4 Fraud Prevention; Abuse; Circumvention
Atuiqe and its Platforms may employ fraud detection systems, behavioral analysis, device fingerprinting, and manual review to protect Events and ticket inventory.
Any order suspected of fraud, abuse, unauthorized resale, scalping, policy circumvention, or other misuse may be cancelled and Tickets voided without refund, even if the Ticket holder is not the original purchaser.
6.5 Chargebacks; Payment Disputes
Initiating a chargeback, payment dispute, or reversal constitutes a material breach of these Terms.
Atuiqe reserves the right to:
Cancel or void Tickets associated with a disputed charge;
Deny Event entry;
Restrict future purchases; and
Recover reasonable costs incurred in responding to the dispute, including administrative and processing costs, to the fullest extent permitted by law, if the dispute is resolved in Atuiqe’s favor.
7. TRANSFERS; RESALE; SCALPING; VOIDING
Tickets may be transferred or resold only if expressly permitted for the specific Event and only through authorized Platform mechanisms.
Any Ticket that is:
Sold or transferred in violation of these Terms;
Sold above permitted limits or in violation of applicable law;
Listed on unauthorized resale marketplaces; or
Obtained through bots, scraping, automated purchasing, or circumvention methods
may be voided without refund, and the holder may be denied entry.
Use of bots, automated software, scraping, or similar technologies is strictly prohibited and may result in permanent account bans, order cancellation, and referral to appropriate authorities.
8. EVENT CHANGES; RAIN OR SHINE; PROGRAMMING SUBJECT TO CHANGE
Unless expressly stated otherwise, Events are rain or shine.
Event details—including performers, artists, speakers, schedules, set times, layouts, production elements, amenities, viewing areas, and programming—are subject to change at any time without notice.
No refunds or credits will be issued solely due to:
Changes in lineup or schedule;
Weather conditions;
Adjustments to Event layout or amenities; or
Partial performance or delayed start times,
except where required by law.
9. CANCELLATION, POSTPONEMENT, RELOCATION
Atuiqe reserves the right, in its sole discretion, to cancel, postpone, reschedule, relocate, modify, suspend, evacuate, or terminate an Event, in whole or in part, for any reason, including safety, security, weather, operational, permitting, force majeure, or production considerations.
If refunds are offered, Atuiqe’s total liability shall be limited to the base ticket price actually paid, excluding fees, unless otherwise required by law. Atuiqe shall have no obligation to reimburse travel, lodging, parking, or other incidental expenses.
10. ENTRY; SECURITY; SEARCH; DENIAL OF ADMISSION; REMOVAL; EMERGENCIES
Entry is subject to capacity limits, credential verification, ID checks, and security screening, including bag inspections and metal detection where applicable.
Refusal to submit to screening or comply with security procedures may result in denial of entry or removal without refund.
Atuiqe reserves the absolute right to deny admission or remove any individual for:
Unsafe, disruptive, or disorderly behavior;
Intoxication or impairment;
Failure to follow staff or emergency instructions;
Crowd-control or safety violations; or
Any conduct deemed inconsistent with a safe Event environment.
Emergency actions, including evacuation, shelter-in-place, or medical response, must be followed immediately. Atuiqe assumes no liability for delays, injuries, or losses arising from emergency procedures to the fullest extent permitted by law.
11. WRISTBANDS, CREDENTIALS, ACCESS LEVELS; LOST ITEMS
Wristbands and credentials are non-transferable and void if altered, removed, damaged, or tampered with.
Lost, stolen, or misplaced wristbands, credentials, or Tickets may not be replaced. Atuiqe is not responsible for lost, stolen, or damaged personal property, including phones, bags, or valuables.
Unauthorized access to restricted areas may result in immediate removal and trespass enforcement.
12. RE-ENTRY POLICY
Re-entry is permitted only if expressly authorized for the specific Event and is subject to:
Valid re-entry credentials;
Re-screening;
Capacity limits; and
Safety and operational conditions.
Atuiqe reserves the right to deny re-entry at its sole discretion for any reason.
13. PROHIBITED ITEMS; BAG POLICY; CONFISCATION
Prohibited items may include, without limitation: weapons, drugs, outside alcohol, glass containers, fireworks, drones, laser pointers, large bags, professional recording equipment without authorization, and any item deemed unsafe.
Prohibited items may be confiscated, discarded, or denied entry. Confiscated items will not be stored or returned, and Atuiqe assumes no responsibility for their loss or disposal.
14. CODE OF CONDUCT
You agree to behave responsibly and safely at all times. Prohibited conduct includes, without limitation:
Harassment, discrimination, or hate-based behavior;
Violence, threats, or intimidation;
Interference with staff, performers, or operations;
Unsafe crowd behavior;
Unauthorized access or solicitation;
Property damage; or
Illegal activity.
Violations may result in immediate removal without refund, revocation of credentials, banning from future Events, and law enforcement involvement.
15. VENDORS, MERCHANTS, SPONSORS, PERFORMERS, AND THIRD PARTIES
Events may feature or involve third-party vendors, merchants, food operators, sponsors, exhibitors, performers, artists, contractors, and other independent third parties (“Third Parties”). Atuiqe does not own, control, operate, or supervise Third Parties, and makes no representations or warranties regarding their products, services, conduct, pricing, promotions, statements, availability, quality, safety, legality, or compliance with laws.
Atuiqe expressly disclaims all liability for any acts, omissions, errors, injuries, losses, damages, illnesses, allergic reactions, disputes, chargebacks, or claims arising out of or related to Third Party goods, services, food, beverages, merchandise, experiences, or interactions, whether occurring before, during, or after the Event.
Food and beverage purchases may present allergy, dietary, or health risks. You are solely responsible for determining whether food or beverages are safe for you to consume. Vendors are solely responsible for ingredient disclosure, food handling, preparation, labeling, permitting, and compliance with all applicable health and safety laws and regulations. Atuiqe does not guarantee allergen-free food or environments.
Any dispute related to Third Party transactions, products, or services must be resolved directly with the applicable Third Party.
16. PARKING, TRANSPORTATION, RIDESHARE, AND OFFSITE RISKS
Parking, transportation, shuttle services, rideshare services, and public transit options may be provided by venues, municipalities, or independent third parties and are not operated or controlled by Atuiqe.
Atuiqe assumes no responsibility or liability for towing, vehicle damage, theft, vandalism, accidents, delays, injuries, traffic conditions, pedestrian incidents, rideshare activity, public transit disruptions, or any other incidents occurring outside the controlled Event footprint, including parking lots, garages, streets, sidewalks, transit stops, or surrounding areas.
You assume all risks associated with travel to and from the Event, including walking, parking, and transportation decisions, whether before, during, or after the Event.
17. WEATHER CONDITIONS; TEMPORARY STRUCTURES; LIGHTING, SOUND, AND SPECIAL EFFECTS WARNINGS
Events may take place outdoors or in temporary or modified environments and may involve weather exposure, uneven surfaces, temporary stages or structures, barricades, cables, generators, lighting towers, tents, inflatables, or other production elements.
Events may also include loud or amplified sound, bass-heavy music, strobe lighting, flashing lights, lasers, haze or fog effects, pyrotechnic effects (where permitted), visual projections, and crowded conditions.
Individuals with photosensitivity, epilepsy, sensory sensitivities, asthma, respiratory conditions, heart conditions, anxiety disorders, or other medical concerns should take appropriate precautions prior to attending. By attending, you voluntarily assume all risks associated with these conditions, whether foreseeable or unforeseeable.
Atuiqe is not responsible for injuries, medical events, discomfort, or adverse reactions related to sound, lighting, special effects, crowd density, temporary structures, or environmental conditions.
18. HEALTH & SAFETY; COMMUNICABLE DISEASE; MEDICAL RISKS
Attendance at Events involves inherent health and safety risks, including exposure to communicable diseases, illnesses, viruses, or bacteria, whether airborne, surface-based, or person-to-person.
By attending, you voluntarily assume all risks related to illness, injury, or medical conditions, including risks that may arise from contact with other attendees, staff, vendors, or surfaces. Atuiqe makes no guarantees regarding the health status of any individual present at an Event.
You agree to comply with all health and safety protocols, rules, or instructions implemented by Atuiqe, venues, or authorities. Failure to comply may result in denial of entry or removal without refund.
To the fullest extent permitted by law, Atuiqe disclaims liability for any illness, injury, hospitalization, long-term effects, or death related to attendance at an Event.
18.1. MEDICAL EMERGENCIES; FIRST AID; EMERGENCY RESPONSE
Medical assistance or first aid services, if provided, are offered solely as a courtesy and do not constitute medical care or treatment. Availability of medical personnel, EMTs, or first aid stations may vary by Event and Venue and may be limited in scope.
Atuiqe makes no representations or warranties regarding the availability, adequacy, timeliness, or effectiveness of medical or first aid services. You acknowledge that emergency response times may vary and that delays may occur due to crowd conditions, location, weather, or other factors.
By attending an Event, you voluntarily assume all risks related to medical conditions, injuries, or emergencies and release Atuiqe from liability arising from the provision, delay, or absence of medical assistance to the fullest extent permitted by law.
If you require regular medication, medical devices, or special care, you are solely responsible for managing those needs while attending the Event.
19. ACCESSIBILITY & ADA ACCOMMODATIONS
Atuiqe is committed to making reasonable efforts to provide accessible experiences in accordance with applicable law. Accessibility features, accommodations, and services vary by Venue and Event and may be limited by venue design, temporary infrastructure, capacity, safety requirements, or operational constraints.
Requests for accommodations must be submitted in advance by contacting info@atuiqe.com with the Event name, date, and a description of the requested accommodation. Reasonable advance notice is required to allow coordination with venues and partners.
Atuiqe does not guarantee the availability of specific accommodations where such accommodations would impose undue hardship, compromise safety, exceed venue capabilities, or are not legally required. Atuiqe is not responsible for accessibility limitations inherent to third-party venues or temporary event environments.
20. PHOTOGRAPHY/RECORDING; MEDIA RELEASE
By entering or attending an Event, you grant Atuiqe and its parents, affiliates, partners, sponsors, licensees, contractors, and designees the irrevocable, perpetual, worldwide, royalty-free right to photograph, record, film, livestream, and otherwise capture your image, likeness, voice, name, and appearance (“Recordings”), and to use, edit, reproduce, distribute, publicly perform, display, and create derivative works from such Recordings for promotional, marketing, advertising, sponsorship fulfillment, editorial, and archival purposes, in any media now known or later developed, without compensation, notice, or approval.
No-Photo / No-Video Events
Certain Events, performances, experiences, or areas may be designated as NO PHOTO / NO VIDEO / NO RECORDING, including (without limitation) special guests, private experiences, confidential programming, comedy performances, rehearsals, backstage areas, VIP/Sponsor lounges, or other restricted zones.
When an Event or area is designated “no recording,” it will be communicated through one or more of the following:
Event listing language and/or ticket confirmation instructions
Onsite signage
Announcements
Staff/security instructions
Credential or wristband rules
If an Event or area is designated “no recording,” you agree that you will not photograph, record, livestream, or transmit audio/video by any means, including mobile phones, cameras, smart glasses, wearables, or other devices.
Enforcement
We reserve the right, without refund, to:
Require you to delete photos/video/audio captured in violation of these rules
Confiscate or secure devices temporarily where permitted by law and venue policy
Remove you from the Event
Revoke credentials or Tickets
Prohibit future attendance
Pursue legal remedies where appropriate
Professional Equipment & Commercial Use
Professional cameras, detachable lenses, tripods, monopods, gimbals, drones, or professional audio gear may be prohibited unless you have prior written authorization.
Commercial recording, brand activations, influencer filming for paid partnerships, media production, or any use that interferes with operations requires Atuiqe’s written approval.
Atuiqe’s Right to Record
Atuiqe may record the Event for safety, operations, and promotional purposes, including livestreaming, and may capture crowd footage and individual images. If you do not wish to be recorded, do not enter the Event footprint.
21. ASSUMPTION OF RISK; RELEASE; WAIVER
You acknowledge and agree that attendance at an Event and participation in any Event-related activities involve inherent and non-inherent risks, whether known or unknown, foreseeable or unforeseeable, including but not limited to: personal injury, serious bodily injury, death, illness, communicable disease, allergic reactions, theft, loss or damage of personal property, crowd-related incidents, weather conditions, temporary structures, sound and lighting effects, third-party acts or omissions, and the negligence of other attendees or third parties.
You voluntarily and expressly assume all such risks, whether arising before, during, or after the Event, and whether caused by the actions, omissions, or negligence of other attendees, vendors, performers, sponsors, contractors, venue operators, or third parties.
To the fullest extent permitted by law, you hereby irrevocably waive, release, discharge, and covenant not to sueAtuiqe, LLC, and its past, present, and future parents, affiliates, subsidiaries, officers, directors, members, managers, employees, contractors, agents, representatives, sponsors, partners, vendors, performers, venues, licensors, successors, and assigns (collectively, the “Released Parties”) from any and all claims, demands, causes of action, damages, losses, liabilities, costs, or expenses of any kind, whether known or unknown, suspected or unsuspected, arising out of or relating in any way to your attendance at or participation in the Event, except to the limited extent prohibited by applicable law.
22. INDEMNIFICATION; DUTY TO DEFEND
You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, actions, suits, proceedings, damages, judgments, losses, liabilities, penalties, fines, costs, and expenses(including reasonable attorneys’ fees, expert fees, and court costs) arising out of or related to:
Your attendance at or conduct in connection with an Event;
Your violation of these Terms or any Event, venue, or safety rules;
Your violation of any law or regulation;
Your infringement or alleged infringement of any intellectual property, privacy, or other rights of any third party; or
Any claim brought by or on behalf of a minor or guest accompanying you.
This indemnification obligation includes a duty to defend the Released Parties and survives the conclusion of the Event and termination of these Terms. Atuiqe reserves the right to assume exclusive control of the defense of any claim subject to indemnification, and you agree to cooperate fully in such defense.
23. LIMITATION OF LIABILITY; DAMAGES WAIVER
To the maximum extent permitted by law:
The Released Parties shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of enjoyment, loss of data, or emotional distress, even if advised of the possibility of such damages.
The total cumulative liability of the Released Parties for any claim arising out of or relating to the Event, the Tickets, or these Terms shall be strictly limited to the greater of (a) $100 or (b) the face value of the Ticket actually paid by you for the specific Event giving rise to the claim.
You acknowledge that this limitation of liability reflects a reasonable allocation of risk and forms an essential basis of the bargain between you and Atuiqe.
Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the maximum extent permitted by law.
24. FORCE MAJEURE; NO LIABILITY FOR UNCONTROLLABLE EVENTS
Atuiqe shall not be liable for any failure, delay, interruption, modification, rescheduling, relocation, or cancellation of an Event caused by circumstances beyond its reasonable control, including but not limited to: acts of God, weather conditions, fire, flood, earthquakes, pandemics, public health emergencies, government orders, venue restrictions, labor disputes, supply chain disruptions, power or internet outages, acts of terrorism, civil unrest, or security threats.
In any such event, Atuiqe’s obligations, including any refunds if offered, shall be limited as set forth in these Terms and applicable law.
25. ATUIQE BUSINESS SERVICES; NO GUARANTEE; NO AGENCY
Atuiqe provides professional event production and management services, which may include planning, staffing, vendor coordination, sponsorship fulfillment, ticketing operations, marketing coordination, permitting support, onsite operations, and logistics (“Atuiqe Business Services”).
You acknowledge and agree that:
Events may involve independent third-party venues, suppliers, contractors, performers, sponsors, and vendors, each operating under their own control and policies.
Atuiqe does not guarantee uninterrupted services, continuous access, specific performers, schedules, amenities, programming, weather conditions, or attendee experience.
Atuiqe is not responsible for failures or actions of third parties, including ticketing platforms, payment processors, venues, transportation providers, or contractors.
Nothing in these Terms shall be deemed to create any partnership, joint venture, fiduciary, or agency relationshipbetween you and Atuiqe.
26. INTELLECTUAL PROPERTY; NO LICENSE
All trademarks, service marks, logos, branding, content, and materials associated with Atuiqe and the Events are owned by Atuiqe or its licensors. No license or rights are granted to you except the limited right to attend the Event. Any unauthorized use is strictly prohibited.
27. UPDATES; ASSIGNMENT; NO WAIVER; SEVERABILITY
Atuiqe may update these Terms at any time. Atuiqe may assign these Terms without restriction. You may not assign these Terms without Atuiqe’s prior written consent. Any failure by Atuiqe to enforce a provision shall not constitute a waiver. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
28. DISPUTES; ARBITRATION; CLASS ACTION WAIVER
PLEASE READ CAREFULLY. THIS AFFECTS YOUR LEGAL RIGHTS.
28.1 Informal Resolution
Before initiating arbitration or litigation, you must first notify Atuiqe by emailing legal@atuiqe.com with a detailed description of the dispute and proposed resolution.
28.2 Mandatory Individual Arbitration
Except for qualifying small claims matters, all disputes shall be resolved exclusively by binding individual arbitration, not in court, and not on a class or representative basis.
28.3 Class Action Waiver
You expressly waive any right to bring or participate in any class action, collective action, representative action, or class arbitration.
28.4 Small Claims
If a claim qualifies for small claims court, it may be brought only in King County, Washington, on an individual basis.
29. EXCLUSIVE VENUE — SEATTLE / KING COUNTY, WASHINGTON
If arbitration does not apply or is held unenforceable, any court proceeding must be brought exclusively in King County, Washington (Seattle). You irrevocably consent to personal jurisdiction and venue in such courts and waive any objection based on forum non conveniens or improper venue.
30. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict-of-laws principles. The Federal Arbitration Act governs the arbitration provisions.

OVERVIEW
These Terms of Use (“Terms”) govern your access to and use of Atuiqe’s websites, event listings, ticketing pages, communications, and related services (collectively, the “Services”), as well as your purchase, possession, transfer, acceptance, resale, or use of tickets, wristbands, credentials, products, experiences, add-ons, and services offered by or on behalf of Atuiqe, LLC (“Atuiqe,” “we,” “us,” or “our”) in connection with any event produced, promoted, operated, managed, or serviced by Atuiqe (each, an “Event”).
These Terms also incorporate by reference additional policies, rules, and disclosures that may apply depending on the Event and the Services used (collectively, “Other Policies”), including without limitation: purchase policies, transfer policies, resale rules, venue/house rules, safety policies, accessibility procedures, code of conduct, prohibited items lists, age policies, marketing policies, and any Event-specific rules posted on the Event page, provided in checkout, sent to ticket holders, or communicated onsite.
If these Terms conflict with any Other Policies, the Other Policies govern only for that conflict, except that Sections 14–16 (Disputes/Arbitration/Class Action Waiver; Exclusive Seattle/King County Venue; Governing Law) control to the fullest extent permitted by law.
NOTICE REGARDING ARBITRATION AND CLASS ACTION WAIVER:
These Terms contain a mandatory individual arbitration agreement and a class action waiver (Section 14). You and we agree that most disputes must be resolved by binding arbitration rather than in court. By agreeing to arbitration, you and we each waive any right to a jury trial and any right to participate in a class action.
NOTICE REGARDING SEATTLE/KING COUNTY VENUE:
If arbitration does not apply or is determined unenforceable for a particular claim, then you agree that any lawsuit or court proceeding may be brought only in King County, Washington (Seattle) (Section 15).
NOTICE REGARDING FUTURE CHANGES:
We may update these Terms. The Effective Date tells you when they were last revised. Your continued use of the Services or purchase/use of Tickets after any update constitutes acceptance of the updated Terms for that use/purchase.
1. THIS IS A CONTRACT BETWEEN YOU AND US
These Terms are a legally binding agreement between you (“you” or “your”) and Atuiqe, LLC. You and Atuiqe are each a “party,” and together the “parties.”
Definitions
“Event” includes any live, in-person, hybrid, or virtual event produced, promoted, hosted, managed, or serviced by Atuiqe, including pre-events, after-parties, activations, load-in/out windows (where applicable to credentialed persons), and any related experiences.
“Ticket” includes digital or physical tickets, passes, QR codes, barcodes, credentials, wristbands, badges, lanyards, guest lists, comps, and any other admission mechanism.
“Add-ons” may include upgrades, meet-and-greets, lounge access, merch bundles, parking, re-entry privileges, premium viewing, or other experiences.
“Venue” means the place where an Event occurs, including all surrounding areas under Event control (queues, entrances, lawns, parking lots, vendor areas, and restricted zones).
“Platforms” means third-party ticketing and payment providers and their related systems used to sell or administer Tickets and communications.
“Atuiqe Business Services” means Atuiqe’s event production and management services, including planning, staffing, permitting coordination, vendor coordination, sponsorship fulfillment, marketing, ticketing operations, customer support, on-site management, vendor/merchant programs, and other event operations services performed for clients and partners.
2. OTHER POLICIES; EVENT RULES; VENUE RULES; OPERATIONAL AUTHORITY
You acknowledge and agree that your attendance at any Event and your use of the Services are conditioned upon your full compliance with all rules, policies, procedures, and instructions, whether written or verbal, including without limitation:
All Event-specific rules, disclosures, restrictions, and requirements published on the Event listing, checkout pages, ticket confirmation emails, ticket PDFs, signage, mobile notifications, or otherwise communicated by Atuiqe before or during the Event;
All venue rules, house policies, conditions of entry, and posted signage, including those related to safety, security, capacity, accessibility, prohibited items, alcohol service, emergency procedures, and crowd management;
All instructions issued by Atuiqe personnel, venue staff, security personnel, medical staff, emergency responders, and law enforcement, whether before, during, or after the Event; and
All applicable federal, state, and local laws, ordinances, and regulations.
These rules and policies may govern, without limitation: alcohol consumption, intoxication standards, crowd behavior, queuing, capacity limits, entry and exit flow, restricted areas, emergency evacuation, shelter-in-place procedures, lost & found processes, bag policies, credential use, health and safety protocols, photography restrictions, and prohibited items.
Atuiqe reserves the sole and absolute right to interpret, apply, enforce, modify, supplement, or waive any Event rules or operational procedures at any time, with or without prior notice, when deemed necessary or appropriate for safety, security, crowd control, production needs, weather conditions, permitting compliance, accessibility considerations, public health concerns, or operational efficiency. Failure to comply may result in immediate denial of entry, removal from the Event, revocation of credentials, or ejection without refund, and may include referral to law enforcement.
3. ELIGIBILITY; AGE POLICIES; MINORS; ALCOHOL-RESTRICTED AREAS
Unless otherwise expressly stated for a particular Event, you must be at least eighteen (18) years of age to purchase Tickets. Certain Events, areas, credentials, benefits, or experiences may be restricted to persons twenty-one (21) years of age or older, including alcohol service areas, VIP lounges, sponsor spaces, and other controlled-access zones.
Atuiqe reserves the right to require valid government-issued photo identification at entry or at any time during the Event to verify age, identity, or eligibility. Failure or refusal to present acceptable identification may result in denial of entry to age-restricted areas or removal from the Event without refund.
If minors are permitted to attend an Event, they must be accompanied and supervised at all times by a parent or legal guardian. Parents and guardians assume full and sole responsibility for minors in their care, including supervision, conduct, safety, compliance with rules, medical needs, and any claims, damages, or liabilities arising from the minor’s presence or actions. Atuiqe assumes no duty of care or supervision for minors.
4. ACCOUNTS; ACCURATE INFORMATION; SECURITY; FRAUD
Certain Services require the use of third-party ticketing or payment Platforms. You agree to provide accurate, current, and complete information and to maintain the confidentiality and security of your login credentials. You are solely responsible for all activity conducted through your account, whether authorized by you or not.
Atuiqe and/or the Platform may employ fraud detection, identity verification, device fingerprinting, behavioral monitoring, and other security measures. We reserve the right, in our sole discretion, to refuse service, cancel orders, void Tickets, revoke admission, restrict accounts, or deny future purchases if we reasonably suspect fraud, unauthorized resale, circumvention of policies, chargeback abuse, or misuse of accounts, devices, or credentials.
Atuiqe is not responsible for losses arising from compromised accounts, shared devices, or your failure to safeguard login credentials.
5. TICKET IS A REVOCABLE LICENSE; NO PROPERTY RIGHT
A Ticket constitutes a revocable, limited, non-transferable license to attend the applicable Event solely for the purposes and access level designated by the Ticket. Tickets do not confer ownership, property rights, or guaranteed access.
Atuiqe reserves the right to revoke, cancel, void, or deny use of any Ticket at any time, without refund, for violations of these Terms, Event rules, venue policies, safety requirements, or applicable law, or if the Ticket is determined to be counterfeit, duplicated, fraudulently obtained, resold in violation of policy, or otherwise misused.
6. PURCHASE TERMS; ALL SALES FINAL; FEES
6.1 All Sales Final; No Refunds or Exchanges
Unless otherwise expressly stated in writing by Atuiqe for a specific Event, ALL SALES ARE FINAL.
Tickets, Add-ons, upgrades, credentials, wristbands, experiences, and any associated products or services are non-refundable and non-exchangeable, whether purchased online, onsite, in advance, or on the day of the Event, except where a refund is expressly required by applicable law.
You acknowledge and agree that your purchase decision is made voluntarily and with full awareness that Event details, programming, schedules, performers, amenities, weather conditions, crowd size, and venue conditions may vary or change. No refunds or exchanges will be provided due to dissatisfaction with the Event, changes in lineup, schedule adjustments, weather conditions, production elements, personal circumstances, illness, transportation issues, or inability to attend.
Failure to attend an Event, late arrival, early departure, removal for rule violations, denial of entry, or refusal of admission does not entitle you to a refund or credit.
6.2 Fees; Non-Refundability of Fees
Orders may include, without limitation, Platform service fees, processing fees, facility fees, administrative fees, delivery fees, convenience fees, or other charges imposed by Atuiqe, the ticketing Platform, payment processors, venues, or third-party partners.
To the maximum extent permitted by law, ALL FEES ARE NON-REFUNDABLE, regardless of:
Event cancellation, postponement, rescheduling, or relocation;
Changes to Event programming, lineup, schedule, or amenities;
Force majeure events;
Denial of entry or removal for rule violations; or
Any other reason.
Fees compensate for services already rendered, including ticketing infrastructure, processing, fraud prevention, customer support, staffing, and operational costs, and are earned upon purchase.
6.3 Order Limits; Multiple Accounts; Cancellation Authority
Atuiqe reserves the right, in its sole discretion, to impose purchase limits per person, account, household, device, IP address, payment method, billing address, email address, or other identifier.
Orders that exceed stated or unpublished limits, or that appear to be placed using multiple accounts or methods to circumvent limits, may be cancelled, reduced, or voided without notice and without refund, including associated fees.
6.4 Fraud Prevention; Abuse; Circumvention
Atuiqe and its Platforms may employ fraud detection systems, behavioral analysis, device fingerprinting, and manual review to protect Events and ticket inventory.
Any order suspected of fraud, abuse, unauthorized resale, scalping, policy circumvention, or other misuse may be cancelled and Tickets voided without refund, even if the Ticket holder is not the original purchaser.
6.5 Chargebacks; Payment Disputes
Initiating a chargeback, payment dispute, or reversal constitutes a material breach of these Terms.
Atuiqe reserves the right to:
Cancel or void Tickets associated with a disputed charge;
Deny Event entry;
Restrict future purchases; and
Recover reasonable costs incurred in responding to the dispute, including administrative and processing costs, to the fullest extent permitted by law, if the dispute is resolved in Atuiqe’s favor.
7. TRANSFERS; RESALE; SCALPING; VOIDING
Tickets may be transferred or resold only if expressly permitted for the specific Event and only through authorized Platform mechanisms.
Any Ticket that is:
Sold or transferred in violation of these Terms;
Sold above permitted limits or in violation of applicable law;
Listed on unauthorized resale marketplaces; or
Obtained through bots, scraping, automated purchasing, or circumvention methods
may be voided without refund, and the holder may be denied entry.
Use of bots, automated software, scraping, or similar technologies is strictly prohibited and may result in permanent account bans, order cancellation, and referral to appropriate authorities.
8. EVENT CHANGES; RAIN OR SHINE; PROGRAMMING SUBJECT TO CHANGE
Unless expressly stated otherwise, Events are rain or shine.
Event details—including performers, artists, speakers, schedules, set times, layouts, production elements, amenities, viewing areas, and programming—are subject to change at any time without notice.
No refunds or credits will be issued solely due to:
Changes in lineup or schedule;
Weather conditions;
Adjustments to Event layout or amenities; or
Partial performance or delayed start times,
except where required by law.
9. CANCELLATION, POSTPONEMENT, RELOCATION
Atuiqe reserves the right, in its sole discretion, to cancel, postpone, reschedule, relocate, modify, suspend, evacuate, or terminate an Event, in whole or in part, for any reason, including safety, security, weather, operational, permitting, force majeure, or production considerations.
If refunds are offered, Atuiqe’s total liability shall be limited to the base ticket price actually paid, excluding fees, unless otherwise required by law. Atuiqe shall have no obligation to reimburse travel, lodging, parking, or other incidental expenses.
10. ENTRY; SECURITY; SEARCH; DENIAL OF ADMISSION; REMOVAL; EMERGENCIES
Entry is subject to capacity limits, credential verification, ID checks, and security screening, including bag inspections and metal detection where applicable.
Refusal to submit to screening or comply with security procedures may result in denial of entry or removal without refund.
Atuiqe reserves the absolute right to deny admission or remove any individual for:
Unsafe, disruptive, or disorderly behavior;
Intoxication or impairment;
Failure to follow staff or emergency instructions;
Crowd-control or safety violations; or
Any conduct deemed inconsistent with a safe Event environment.
Emergency actions, including evacuation, shelter-in-place, or medical response, must be followed immediately. Atuiqe assumes no liability for delays, injuries, or losses arising from emergency procedures to the fullest extent permitted by law.
11. WRISTBANDS, CREDENTIALS, ACCESS LEVELS; LOST ITEMS
Wristbands and credentials are non-transferable and void if altered, removed, damaged, or tampered with.
Lost, stolen, or misplaced wristbands, credentials, or Tickets may not be replaced. Atuiqe is not responsible for lost, stolen, or damaged personal property, including phones, bags, or valuables.
Unauthorized access to restricted areas may result in immediate removal and trespass enforcement.
12. RE-ENTRY POLICY
Re-entry is permitted only if expressly authorized for the specific Event and is subject to:
Valid re-entry credentials;
Re-screening;
Capacity limits; and
Safety and operational conditions.
Atuiqe reserves the right to deny re-entry at its sole discretion for any reason.
13. PROHIBITED ITEMS; BAG POLICY; CONFISCATION
Prohibited items may include, without limitation: weapons, drugs, outside alcohol, glass containers, fireworks, drones, laser pointers, large bags, professional recording equipment without authorization, and any item deemed unsafe.
Prohibited items may be confiscated, discarded, or denied entry. Confiscated items will not be stored or returned, and Atuiqe assumes no responsibility for their loss or disposal.
14. CODE OF CONDUCT
You agree to behave responsibly and safely at all times. Prohibited conduct includes, without limitation:
Harassment, discrimination, or hate-based behavior;
Violence, threats, or intimidation;
Interference with staff, performers, or operations;
Unsafe crowd behavior;
Unauthorized access or solicitation;
Property damage; or
Illegal activity.
Violations may result in immediate removal without refund, revocation of credentials, banning from future Events, and law enforcement involvement.
15. VENDORS, MERCHANTS, SPONSORS, PERFORMERS, AND THIRD PARTIES
Events may feature or involve third-party vendors, merchants, food operators, sponsors, exhibitors, performers, artists, contractors, and other independent third parties (“Third Parties”). Atuiqe does not own, control, operate, or supervise Third Parties, and makes no representations or warranties regarding their products, services, conduct, pricing, promotions, statements, availability, quality, safety, legality, or compliance with laws.
Atuiqe expressly disclaims all liability for any acts, omissions, errors, injuries, losses, damages, illnesses, allergic reactions, disputes, chargebacks, or claims arising out of or related to Third Party goods, services, food, beverages, merchandise, experiences, or interactions, whether occurring before, during, or after the Event.
Food and beverage purchases may present allergy, dietary, or health risks. You are solely responsible for determining whether food or beverages are safe for you to consume. Vendors are solely responsible for ingredient disclosure, food handling, preparation, labeling, permitting, and compliance with all applicable health and safety laws and regulations. Atuiqe does not guarantee allergen-free food or environments.
Any dispute related to Third Party transactions, products, or services must be resolved directly with the applicable Third Party.
16. PARKING, TRANSPORTATION, RIDESHARE, AND OFFSITE RISKS
Parking, transportation, shuttle services, rideshare services, and public transit options may be provided by venues, municipalities, or independent third parties and are not operated or controlled by Atuiqe.
Atuiqe assumes no responsibility or liability for towing, vehicle damage, theft, vandalism, accidents, delays, injuries, traffic conditions, pedestrian incidents, rideshare activity, public transit disruptions, or any other incidents occurring outside the controlled Event footprint, including parking lots, garages, streets, sidewalks, transit stops, or surrounding areas.
You assume all risks associated with travel to and from the Event, including walking, parking, and transportation decisions, whether before, during, or after the Event.
17. WEATHER CONDITIONS; TEMPORARY STRUCTURES; LIGHTING, SOUND, AND SPECIAL EFFECTS WARNINGS
Events may take place outdoors or in temporary or modified environments and may involve weather exposure, uneven surfaces, temporary stages or structures, barricades, cables, generators, lighting towers, tents, inflatables, or other production elements.
Events may also include loud or amplified sound, bass-heavy music, strobe lighting, flashing lights, lasers, haze or fog effects, pyrotechnic effects (where permitted), visual projections, and crowded conditions.
Individuals with photosensitivity, epilepsy, sensory sensitivities, asthma, respiratory conditions, heart conditions, anxiety disorders, or other medical concerns should take appropriate precautions prior to attending. By attending, you voluntarily assume all risks associated with these conditions, whether foreseeable or unforeseeable.
Atuiqe is not responsible for injuries, medical events, discomfort, or adverse reactions related to sound, lighting, special effects, crowd density, temporary structures, or environmental conditions.
18. HEALTH & SAFETY; COMMUNICABLE DISEASE; MEDICAL RISKS
Attendance at Events involves inherent health and safety risks, including exposure to communicable diseases, illnesses, viruses, or bacteria, whether airborne, surface-based, or person-to-person.
By attending, you voluntarily assume all risks related to illness, injury, or medical conditions, including risks that may arise from contact with other attendees, staff, vendors, or surfaces. Atuiqe makes no guarantees regarding the health status of any individual present at an Event.
You agree to comply with all health and safety protocols, rules, or instructions implemented by Atuiqe, venues, or authorities. Failure to comply may result in denial of entry or removal without refund.
To the fullest extent permitted by law, Atuiqe disclaims liability for any illness, injury, hospitalization, long-term effects, or death related to attendance at an Event.
18.1. MEDICAL EMERGENCIES; FIRST AID; EMERGENCY RESPONSE
Medical assistance or first aid services, if provided, are offered solely as a courtesy and do not constitute medical care or treatment. Availability of medical personnel, EMTs, or first aid stations may vary by Event and Venue and may be limited in scope.
Atuiqe makes no representations or warranties regarding the availability, adequacy, timeliness, or effectiveness of medical or first aid services. You acknowledge that emergency response times may vary and that delays may occur due to crowd conditions, location, weather, or other factors.
By attending an Event, you voluntarily assume all risks related to medical conditions, injuries, or emergencies and release Atuiqe from liability arising from the provision, delay, or absence of medical assistance to the fullest extent permitted by law.
If you require regular medication, medical devices, or special care, you are solely responsible for managing those needs while attending the Event.
19. ACCESSIBILITY & ADA ACCOMMODATIONS
Atuiqe is committed to making reasonable efforts to provide accessible experiences in accordance with applicable law. Accessibility features, accommodations, and services vary by Venue and Event and may be limited by venue design, temporary infrastructure, capacity, safety requirements, or operational constraints.
Requests for accommodations must be submitted in advance by contacting info@atuiqe.com with the Event name, date, and a description of the requested accommodation. Reasonable advance notice is required to allow coordination with venues and partners.
Atuiqe does not guarantee the availability of specific accommodations where such accommodations would impose undue hardship, compromise safety, exceed venue capabilities, or are not legally required. Atuiqe is not responsible for accessibility limitations inherent to third-party venues or temporary event environments.
20. PHOTOGRAPHY/RECORDING; MEDIA RELEASE
By entering or attending an Event, you grant Atuiqe and its parents, affiliates, partners, sponsors, licensees, contractors, and designees the irrevocable, perpetual, worldwide, royalty-free right to photograph, record, film, livestream, and otherwise capture your image, likeness, voice, name, and appearance (“Recordings”), and to use, edit, reproduce, distribute, publicly perform, display, and create derivative works from such Recordings for promotional, marketing, advertising, sponsorship fulfillment, editorial, and archival purposes, in any media now known or later developed, without compensation, notice, or approval.
No-Photo / No-Video Events
Certain Events, performances, experiences, or areas may be designated as NO PHOTO / NO VIDEO / NO RECORDING, including (without limitation) special guests, private experiences, confidential programming, comedy performances, rehearsals, backstage areas, VIP/Sponsor lounges, or other restricted zones.
When an Event or area is designated “no recording,” it will be communicated through one or more of the following:
Event listing language and/or ticket confirmation instructions
Onsite signage
Announcements
Staff/security instructions
Credential or wristband rules
If an Event or area is designated “no recording,” you agree that you will not photograph, record, livestream, or transmit audio/video by any means, including mobile phones, cameras, smart glasses, wearables, or other devices.
Enforcement
We reserve the right, without refund, to:
Require you to delete photos/video/audio captured in violation of these rules
Confiscate or secure devices temporarily where permitted by law and venue policy
Remove you from the Event
Revoke credentials or Tickets
Prohibit future attendance
Pursue legal remedies where appropriate
Professional Equipment & Commercial Use
Professional cameras, detachable lenses, tripods, monopods, gimbals, drones, or professional audio gear may be prohibited unless you have prior written authorization.
Commercial recording, brand activations, influencer filming for paid partnerships, media production, or any use that interferes with operations requires Atuiqe’s written approval.
Atuiqe’s Right to Record
Atuiqe may record the Event for safety, operations, and promotional purposes, including livestreaming, and may capture crowd footage and individual images. If you do not wish to be recorded, do not enter the Event footprint.
21. ASSUMPTION OF RISK; RELEASE; WAIVER
You acknowledge and agree that attendance at an Event and participation in any Event-related activities involve inherent and non-inherent risks, whether known or unknown, foreseeable or unforeseeable, including but not limited to: personal injury, serious bodily injury, death, illness, communicable disease, allergic reactions, theft, loss or damage of personal property, crowd-related incidents, weather conditions, temporary structures, sound and lighting effects, third-party acts or omissions, and the negligence of other attendees or third parties.
You voluntarily and expressly assume all such risks, whether arising before, during, or after the Event, and whether caused by the actions, omissions, or negligence of other attendees, vendors, performers, sponsors, contractors, venue operators, or third parties.
To the fullest extent permitted by law, you hereby irrevocably waive, release, discharge, and covenant not to sueAtuiqe, LLC, and its past, present, and future parents, affiliates, subsidiaries, officers, directors, members, managers, employees, contractors, agents, representatives, sponsors, partners, vendors, performers, venues, licensors, successors, and assigns (collectively, the “Released Parties”) from any and all claims, demands, causes of action, damages, losses, liabilities, costs, or expenses of any kind, whether known or unknown, suspected or unsuspected, arising out of or relating in any way to your attendance at or participation in the Event, except to the limited extent prohibited by applicable law.
22. INDEMNIFICATION; DUTY TO DEFEND
You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, actions, suits, proceedings, damages, judgments, losses, liabilities, penalties, fines, costs, and expenses(including reasonable attorneys’ fees, expert fees, and court costs) arising out of or related to:
Your attendance at or conduct in connection with an Event;
Your violation of these Terms or any Event, venue, or safety rules;
Your violation of any law or regulation;
Your infringement or alleged infringement of any intellectual property, privacy, or other rights of any third party; or
Any claim brought by or on behalf of a minor or guest accompanying you.
This indemnification obligation includes a duty to defend the Released Parties and survives the conclusion of the Event and termination of these Terms. Atuiqe reserves the right to assume exclusive control of the defense of any claim subject to indemnification, and you agree to cooperate fully in such defense.
23. LIMITATION OF LIABILITY; DAMAGES WAIVER
To the maximum extent permitted by law:
The Released Parties shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of enjoyment, loss of data, or emotional distress, even if advised of the possibility of such damages.
The total cumulative liability of the Released Parties for any claim arising out of or relating to the Event, the Tickets, or these Terms shall be strictly limited to the greater of (a) $100 or (b) the face value of the Ticket actually paid by you for the specific Event giving rise to the claim.
You acknowledge that this limitation of liability reflects a reasonable allocation of risk and forms an essential basis of the bargain between you and Atuiqe.
Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the maximum extent permitted by law.
24. FORCE MAJEURE; NO LIABILITY FOR UNCONTROLLABLE EVENTS
Atuiqe shall not be liable for any failure, delay, interruption, modification, rescheduling, relocation, or cancellation of an Event caused by circumstances beyond its reasonable control, including but not limited to: acts of God, weather conditions, fire, flood, earthquakes, pandemics, public health emergencies, government orders, venue restrictions, labor disputes, supply chain disruptions, power or internet outages, acts of terrorism, civil unrest, or security threats.
In any such event, Atuiqe’s obligations, including any refunds if offered, shall be limited as set forth in these Terms and applicable law.
25. ATUIQE BUSINESS SERVICES; NO GUARANTEE; NO AGENCY
Atuiqe provides professional event production and management services, which may include planning, staffing, vendor coordination, sponsorship fulfillment, ticketing operations, marketing coordination, permitting support, onsite operations, and logistics (“Atuiqe Business Services”).
You acknowledge and agree that:
Events may involve independent third-party venues, suppliers, contractors, performers, sponsors, and vendors, each operating under their own control and policies.
Atuiqe does not guarantee uninterrupted services, continuous access, specific performers, schedules, amenities, programming, weather conditions, or attendee experience.
Atuiqe is not responsible for failures or actions of third parties, including ticketing platforms, payment processors, venues, transportation providers, or contractors.
Nothing in these Terms shall be deemed to create any partnership, joint venture, fiduciary, or agency relationshipbetween you and Atuiqe.
26. INTELLECTUAL PROPERTY; NO LICENSE
All trademarks, service marks, logos, branding, content, and materials associated with Atuiqe and the Events are owned by Atuiqe or its licensors. No license or rights are granted to you except the limited right to attend the Event. Any unauthorized use is strictly prohibited.
27. UPDATES; ASSIGNMENT; NO WAIVER; SEVERABILITY
Atuiqe may update these Terms at any time. Atuiqe may assign these Terms without restriction. You may not assign these Terms without Atuiqe’s prior written consent. Any failure by Atuiqe to enforce a provision shall not constitute a waiver. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
28. DISPUTES; ARBITRATION; CLASS ACTION WAIVER
PLEASE READ CAREFULLY. THIS AFFECTS YOUR LEGAL RIGHTS.
28.1 Informal Resolution
Before initiating arbitration or litigation, you must first notify Atuiqe by emailing legal@atuiqe.com with a detailed description of the dispute and proposed resolution.
28.2 Mandatory Individual Arbitration
Except for qualifying small claims matters, all disputes shall be resolved exclusively by binding individual arbitration, not in court, and not on a class or representative basis.
28.3 Class Action Waiver
You expressly waive any right to bring or participate in any class action, collective action, representative action, or class arbitration.
28.4 Small Claims
If a claim qualifies for small claims court, it may be brought only in King County, Washington, on an individual basis.
29. EXCLUSIVE VENUE — SEATTLE / KING COUNTY, WASHINGTON
If arbitration does not apply or is held unenforceable, any court proceeding must be brought exclusively in King County, Washington (Seattle). You irrevocably consent to personal jurisdiction and venue in such courts and waive any objection based on forum non conveniens or improper venue.
30. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict-of-laws principles. The Federal Arbitration Act governs the arbitration provisions.

OVERVIEW
These Terms of Use (“Terms”) govern your access to and use of Atuiqe’s websites, event listings, ticketing pages, communications, and related services (collectively, the “Services”), as well as your purchase, possession, transfer, acceptance, resale, or use of tickets, wristbands, credentials, products, experiences, add-ons, and services offered by or on behalf of Atuiqe, LLC (“Atuiqe,” “we,” “us,” or “our”) in connection with any event produced, promoted, operated, managed, or serviced by Atuiqe (each, an “Event”).
These Terms also incorporate by reference additional policies, rules, and disclosures that may apply depending on the Event and the Services used (collectively, “Other Policies”), including without limitation: purchase policies, transfer policies, resale rules, venue/house rules, safety policies, accessibility procedures, code of conduct, prohibited items lists, age policies, marketing policies, and any Event-specific rules posted on the Event page, provided in checkout, sent to ticket holders, or communicated onsite.
If these Terms conflict with any Other Policies, the Other Policies govern only for that conflict, except that Sections 14–16 (Disputes/Arbitration/Class Action Waiver; Exclusive Seattle/King County Venue; Governing Law) control to the fullest extent permitted by law.
NOTICE REGARDING ARBITRATION AND CLASS ACTION WAIVER:
These Terms contain a mandatory individual arbitration agreement and a class action waiver (Section 14). You and we agree that most disputes must be resolved by binding arbitration rather than in court. By agreeing to arbitration, you and we each waive any right to a jury trial and any right to participate in a class action.
NOTICE REGARDING SEATTLE/KING COUNTY VENUE:
If arbitration does not apply or is determined unenforceable for a particular claim, then you agree that any lawsuit or court proceeding may be brought only in King County, Washington (Seattle) (Section 15).
NOTICE REGARDING FUTURE CHANGES:
We may update these Terms. The Effective Date tells you when they were last revised. Your continued use of the Services or purchase/use of Tickets after any update constitutes acceptance of the updated Terms for that use/purchase.
1. THIS IS A CONTRACT BETWEEN YOU AND US
These Terms are a legally binding agreement between you (“you” or “your”) and Atuiqe, LLC. You and Atuiqe are each a “party,” and together the “parties.”
Definitions
“Event” includes any live, in-person, hybrid, or virtual event produced, promoted, hosted, managed, or serviced by Atuiqe, including pre-events, after-parties, activations, load-in/out windows (where applicable to credentialed persons), and any related experiences.
“Ticket” includes digital or physical tickets, passes, QR codes, barcodes, credentials, wristbands, badges, lanyards, guest lists, comps, and any other admission mechanism.
“Add-ons” may include upgrades, meet-and-greets, lounge access, merch bundles, parking, re-entry privileges, premium viewing, or other experiences.
“Venue” means the place where an Event occurs, including all surrounding areas under Event control (queues, entrances, lawns, parking lots, vendor areas, and restricted zones).
“Platforms” means third-party ticketing and payment providers and their related systems used to sell or administer Tickets and communications.
“Atuiqe Business Services” means Atuiqe’s event production and management services, including planning, staffing, permitting coordination, vendor coordination, sponsorship fulfillment, marketing, ticketing operations, customer support, on-site management, vendor/merchant programs, and other event operations services performed for clients and partners.
2. OTHER POLICIES; EVENT RULES; VENUE RULES; OPERATIONAL AUTHORITY
You acknowledge and agree that your attendance at any Event and your use of the Services are conditioned upon your full compliance with all rules, policies, procedures, and instructions, whether written or verbal, including without limitation:
All Event-specific rules, disclosures, restrictions, and requirements published on the Event listing, checkout pages, ticket confirmation emails, ticket PDFs, signage, mobile notifications, or otherwise communicated by Atuiqe before or during the Event;
All venue rules, house policies, conditions of entry, and posted signage, including those related to safety, security, capacity, accessibility, prohibited items, alcohol service, emergency procedures, and crowd management;
All instructions issued by Atuiqe personnel, venue staff, security personnel, medical staff, emergency responders, and law enforcement, whether before, during, or after the Event; and
All applicable federal, state, and local laws, ordinances, and regulations.
These rules and policies may govern, without limitation: alcohol consumption, intoxication standards, crowd behavior, queuing, capacity limits, entry and exit flow, restricted areas, emergency evacuation, shelter-in-place procedures, lost & found processes, bag policies, credential use, health and safety protocols, photography restrictions, and prohibited items.
Atuiqe reserves the sole and absolute right to interpret, apply, enforce, modify, supplement, or waive any Event rules or operational procedures at any time, with or without prior notice, when deemed necessary or appropriate for safety, security, crowd control, production needs, weather conditions, permitting compliance, accessibility considerations, public health concerns, or operational efficiency. Failure to comply may result in immediate denial of entry, removal from the Event, revocation of credentials, or ejection without refund, and may include referral to law enforcement.
3. ELIGIBILITY; AGE POLICIES; MINORS; ALCOHOL-RESTRICTED AREAS
Unless otherwise expressly stated for a particular Event, you must be at least eighteen (18) years of age to purchase Tickets. Certain Events, areas, credentials, benefits, or experiences may be restricted to persons twenty-one (21) years of age or older, including alcohol service areas, VIP lounges, sponsor spaces, and other controlled-access zones.
Atuiqe reserves the right to require valid government-issued photo identification at entry or at any time during the Event to verify age, identity, or eligibility. Failure or refusal to present acceptable identification may result in denial of entry to age-restricted areas or removal from the Event without refund.
If minors are permitted to attend an Event, they must be accompanied and supervised at all times by a parent or legal guardian. Parents and guardians assume full and sole responsibility for minors in their care, including supervision, conduct, safety, compliance with rules, medical needs, and any claims, damages, or liabilities arising from the minor’s presence or actions. Atuiqe assumes no duty of care or supervision for minors.
4. ACCOUNTS; ACCURATE INFORMATION; SECURITY; FRAUD
Certain Services require the use of third-party ticketing or payment Platforms. You agree to provide accurate, current, and complete information and to maintain the confidentiality and security of your login credentials. You are solely responsible for all activity conducted through your account, whether authorized by you or not.
Atuiqe and/or the Platform may employ fraud detection, identity verification, device fingerprinting, behavioral monitoring, and other security measures. We reserve the right, in our sole discretion, to refuse service, cancel orders, void Tickets, revoke admission, restrict accounts, or deny future purchases if we reasonably suspect fraud, unauthorized resale, circumvention of policies, chargeback abuse, or misuse of accounts, devices, or credentials.
Atuiqe is not responsible for losses arising from compromised accounts, shared devices, or your failure to safeguard login credentials.
5. TICKET IS A REVOCABLE LICENSE; NO PROPERTY RIGHT
A Ticket constitutes a revocable, limited, non-transferable license to attend the applicable Event solely for the purposes and access level designated by the Ticket. Tickets do not confer ownership, property rights, or guaranteed access.
Atuiqe reserves the right to revoke, cancel, void, or deny use of any Ticket at any time, without refund, for violations of these Terms, Event rules, venue policies, safety requirements, or applicable law, or if the Ticket is determined to be counterfeit, duplicated, fraudulently obtained, resold in violation of policy, or otherwise misused.
6. PURCHASE TERMS; ALL SALES FINAL; FEES
6.1 All Sales Final; No Refunds or Exchanges
Unless otherwise expressly stated in writing by Atuiqe for a specific Event, ALL SALES ARE FINAL.
Tickets, Add-ons, upgrades, credentials, wristbands, experiences, and any associated products or services are non-refundable and non-exchangeable, whether purchased online, onsite, in advance, or on the day of the Event, except where a refund is expressly required by applicable law.
You acknowledge and agree that your purchase decision is made voluntarily and with full awareness that Event details, programming, schedules, performers, amenities, weather conditions, crowd size, and venue conditions may vary or change. No refunds or exchanges will be provided due to dissatisfaction with the Event, changes in lineup, schedule adjustments, weather conditions, production elements, personal circumstances, illness, transportation issues, or inability to attend.
Failure to attend an Event, late arrival, early departure, removal for rule violations, denial of entry, or refusal of admission does not entitle you to a refund or credit.
6.2 Fees; Non-Refundability of Fees
Orders may include, without limitation, Platform service fees, processing fees, facility fees, administrative fees, delivery fees, convenience fees, or other charges imposed by Atuiqe, the ticketing Platform, payment processors, venues, or third-party partners.
To the maximum extent permitted by law, ALL FEES ARE NON-REFUNDABLE, regardless of:
Event cancellation, postponement, rescheduling, or relocation;
Changes to Event programming, lineup, schedule, or amenities;
Force majeure events;
Denial of entry or removal for rule violations; or
Any other reason.
Fees compensate for services already rendered, including ticketing infrastructure, processing, fraud prevention, customer support, staffing, and operational costs, and are earned upon purchase.
6.3 Order Limits; Multiple Accounts; Cancellation Authority
Atuiqe reserves the right, in its sole discretion, to impose purchase limits per person, account, household, device, IP address, payment method, billing address, email address, or other identifier.
Orders that exceed stated or unpublished limits, or that appear to be placed using multiple accounts or methods to circumvent limits, may be cancelled, reduced, or voided without notice and without refund, including associated fees.
6.4 Fraud Prevention; Abuse; Circumvention
Atuiqe and its Platforms may employ fraud detection systems, behavioral analysis, device fingerprinting, and manual review to protect Events and ticket inventory.
Any order suspected of fraud, abuse, unauthorized resale, scalping, policy circumvention, or other misuse may be cancelled and Tickets voided without refund, even if the Ticket holder is not the original purchaser.
6.5 Chargebacks; Payment Disputes
Initiating a chargeback, payment dispute, or reversal constitutes a material breach of these Terms.
Atuiqe reserves the right to:
Cancel or void Tickets associated with a disputed charge;
Deny Event entry;
Restrict future purchases; and
Recover reasonable costs incurred in responding to the dispute, including administrative and processing costs, to the fullest extent permitted by law, if the dispute is resolved in Atuiqe’s favor.
7. TRANSFERS; RESALE; SCALPING; VOIDING
Tickets may be transferred or resold only if expressly permitted for the specific Event and only through authorized Platform mechanisms.
Any Ticket that is:
Sold or transferred in violation of these Terms;
Sold above permitted limits or in violation of applicable law;
Listed on unauthorized resale marketplaces; or
Obtained through bots, scraping, automated purchasing, or circumvention methods
may be voided without refund, and the holder may be denied entry.
Use of bots, automated software, scraping, or similar technologies is strictly prohibited and may result in permanent account bans, order cancellation, and referral to appropriate authorities.
8. EVENT CHANGES; RAIN OR SHINE; PROGRAMMING SUBJECT TO CHANGE
Unless expressly stated otherwise, Events are rain or shine.
Event details—including performers, artists, speakers, schedules, set times, layouts, production elements, amenities, viewing areas, and programming—are subject to change at any time without notice.
No refunds or credits will be issued solely due to:
Changes in lineup or schedule;
Weather conditions;
Adjustments to Event layout or amenities; or
Partial performance or delayed start times,
except where required by law.
9. CANCELLATION, POSTPONEMENT, RELOCATION
Atuiqe reserves the right, in its sole discretion, to cancel, postpone, reschedule, relocate, modify, suspend, evacuate, or terminate an Event, in whole or in part, for any reason, including safety, security, weather, operational, permitting, force majeure, or production considerations.
If refunds are offered, Atuiqe’s total liability shall be limited to the base ticket price actually paid, excluding fees, unless otherwise required by law. Atuiqe shall have no obligation to reimburse travel, lodging, parking, or other incidental expenses.
10. ENTRY; SECURITY; SEARCH; DENIAL OF ADMISSION; REMOVAL; EMERGENCIES
Entry is subject to capacity limits, credential verification, ID checks, and security screening, including bag inspections and metal detection where applicable.
Refusal to submit to screening or comply with security procedures may result in denial of entry or removal without refund.
Atuiqe reserves the absolute right to deny admission or remove any individual for:
Unsafe, disruptive, or disorderly behavior;
Intoxication or impairment;
Failure to follow staff or emergency instructions;
Crowd-control or safety violations; or
Any conduct deemed inconsistent with a safe Event environment.
Emergency actions, including evacuation, shelter-in-place, or medical response, must be followed immediately. Atuiqe assumes no liability for delays, injuries, or losses arising from emergency procedures to the fullest extent permitted by law.
11. WRISTBANDS, CREDENTIALS, ACCESS LEVELS; LOST ITEMS
Wristbands and credentials are non-transferable and void if altered, removed, damaged, or tampered with.
Lost, stolen, or misplaced wristbands, credentials, or Tickets may not be replaced. Atuiqe is not responsible for lost, stolen, or damaged personal property, including phones, bags, or valuables.
Unauthorized access to restricted areas may result in immediate removal and trespass enforcement.
12. RE-ENTRY POLICY
Re-entry is permitted only if expressly authorized for the specific Event and is subject to:
Valid re-entry credentials;
Re-screening;
Capacity limits; and
Safety and operational conditions.
Atuiqe reserves the right to deny re-entry at its sole discretion for any reason.
13. PROHIBITED ITEMS; BAG POLICY; CONFISCATION
Prohibited items may include, without limitation: weapons, drugs, outside alcohol, glass containers, fireworks, drones, laser pointers, large bags, professional recording equipment without authorization, and any item deemed unsafe.
Prohibited items may be confiscated, discarded, or denied entry. Confiscated items will not be stored or returned, and Atuiqe assumes no responsibility for their loss or disposal.
14. CODE OF CONDUCT
You agree to behave responsibly and safely at all times. Prohibited conduct includes, without limitation:
Harassment, discrimination, or hate-based behavior;
Violence, threats, or intimidation;
Interference with staff, performers, or operations;
Unsafe crowd behavior;
Unauthorized access or solicitation;
Property damage; or
Illegal activity.
Violations may result in immediate removal without refund, revocation of credentials, banning from future Events, and law enforcement involvement.
15. VENDORS, MERCHANTS, SPONSORS, PERFORMERS, AND THIRD PARTIES
Events may feature or involve third-party vendors, merchants, food operators, sponsors, exhibitors, performers, artists, contractors, and other independent third parties (“Third Parties”). Atuiqe does not own, control, operate, or supervise Third Parties, and makes no representations or warranties regarding their products, services, conduct, pricing, promotions, statements, availability, quality, safety, legality, or compliance with laws.
Atuiqe expressly disclaims all liability for any acts, omissions, errors, injuries, losses, damages, illnesses, allergic reactions, disputes, chargebacks, or claims arising out of or related to Third Party goods, services, food, beverages, merchandise, experiences, or interactions, whether occurring before, during, or after the Event.
Food and beverage purchases may present allergy, dietary, or health risks. You are solely responsible for determining whether food or beverages are safe for you to consume. Vendors are solely responsible for ingredient disclosure, food handling, preparation, labeling, permitting, and compliance with all applicable health and safety laws and regulations. Atuiqe does not guarantee allergen-free food or environments.
Any dispute related to Third Party transactions, products, or services must be resolved directly with the applicable Third Party.
16. PARKING, TRANSPORTATION, RIDESHARE, AND OFFSITE RISKS
Parking, transportation, shuttle services, rideshare services, and public transit options may be provided by venues, municipalities, or independent third parties and are not operated or controlled by Atuiqe.
Atuiqe assumes no responsibility or liability for towing, vehicle damage, theft, vandalism, accidents, delays, injuries, traffic conditions, pedestrian incidents, rideshare activity, public transit disruptions, or any other incidents occurring outside the controlled Event footprint, including parking lots, garages, streets, sidewalks, transit stops, or surrounding areas.
You assume all risks associated with travel to and from the Event, including walking, parking, and transportation decisions, whether before, during, or after the Event.
17. WEATHER CONDITIONS; TEMPORARY STRUCTURES; LIGHTING, SOUND, AND SPECIAL EFFECTS WARNINGS
Events may take place outdoors or in temporary or modified environments and may involve weather exposure, uneven surfaces, temporary stages or structures, barricades, cables, generators, lighting towers, tents, inflatables, or other production elements.
Events may also include loud or amplified sound, bass-heavy music, strobe lighting, flashing lights, lasers, haze or fog effects, pyrotechnic effects (where permitted), visual projections, and crowded conditions.
Individuals with photosensitivity, epilepsy, sensory sensitivities, asthma, respiratory conditions, heart conditions, anxiety disorders, or other medical concerns should take appropriate precautions prior to attending. By attending, you voluntarily assume all risks associated with these conditions, whether foreseeable or unforeseeable.
Atuiqe is not responsible for injuries, medical events, discomfort, or adverse reactions related to sound, lighting, special effects, crowd density, temporary structures, or environmental conditions.
18. HEALTH & SAFETY; COMMUNICABLE DISEASE; MEDICAL RISKS
Attendance at Events involves inherent health and safety risks, including exposure to communicable diseases, illnesses, viruses, or bacteria, whether airborne, surface-based, or person-to-person.
By attending, you voluntarily assume all risks related to illness, injury, or medical conditions, including risks that may arise from contact with other attendees, staff, vendors, or surfaces. Atuiqe makes no guarantees regarding the health status of any individual present at an Event.
You agree to comply with all health and safety protocols, rules, or instructions implemented by Atuiqe, venues, or authorities. Failure to comply may result in denial of entry or removal without refund.
To the fullest extent permitted by law, Atuiqe disclaims liability for any illness, injury, hospitalization, long-term effects, or death related to attendance at an Event.
18.1. MEDICAL EMERGENCIES; FIRST AID; EMERGENCY RESPONSE
Medical assistance or first aid services, if provided, are offered solely as a courtesy and do not constitute medical care or treatment. Availability of medical personnel, EMTs, or first aid stations may vary by Event and Venue and may be limited in scope.
Atuiqe makes no representations or warranties regarding the availability, adequacy, timeliness, or effectiveness of medical or first aid services. You acknowledge that emergency response times may vary and that delays may occur due to crowd conditions, location, weather, or other factors.
By attending an Event, you voluntarily assume all risks related to medical conditions, injuries, or emergencies and release Atuiqe from liability arising from the provision, delay, or absence of medical assistance to the fullest extent permitted by law.
If you require regular medication, medical devices, or special care, you are solely responsible for managing those needs while attending the Event.
19. ACCESSIBILITY & ADA ACCOMMODATIONS
Atuiqe is committed to making reasonable efforts to provide accessible experiences in accordance with applicable law. Accessibility features, accommodations, and services vary by Venue and Event and may be limited by venue design, temporary infrastructure, capacity, safety requirements, or operational constraints.
Requests for accommodations must be submitted in advance by contacting info@atuiqe.com with the Event name, date, and a description of the requested accommodation. Reasonable advance notice is required to allow coordination with venues and partners.
Atuiqe does not guarantee the availability of specific accommodations where such accommodations would impose undue hardship, compromise safety, exceed venue capabilities, or are not legally required. Atuiqe is not responsible for accessibility limitations inherent to third-party venues or temporary event environments.
20. PHOTOGRAPHY/RECORDING; MEDIA RELEASE
By entering or attending an Event, you grant Atuiqe and its parents, affiliates, partners, sponsors, licensees, contractors, and designees the irrevocable, perpetual, worldwide, royalty-free right to photograph, record, film, livestream, and otherwise capture your image, likeness, voice, name, and appearance (“Recordings”), and to use, edit, reproduce, distribute, publicly perform, display, and create derivative works from such Recordings for promotional, marketing, advertising, sponsorship fulfillment, editorial, and archival purposes, in any media now known or later developed, without compensation, notice, or approval.
No-Photo / No-Video Events
Certain Events, performances, experiences, or areas may be designated as NO PHOTO / NO VIDEO / NO RECORDING, including (without limitation) special guests, private experiences, confidential programming, comedy performances, rehearsals, backstage areas, VIP/Sponsor lounges, or other restricted zones.
When an Event or area is designated “no recording,” it will be communicated through one or more of the following:
Event listing language and/or ticket confirmation instructions
Onsite signage
Announcements
Staff/security instructions
Credential or wristband rules
If an Event or area is designated “no recording,” you agree that you will not photograph, record, livestream, or transmit audio/video by any means, including mobile phones, cameras, smart glasses, wearables, or other devices.
Enforcement
We reserve the right, without refund, to:
Require you to delete photos/video/audio captured in violation of these rules
Confiscate or secure devices temporarily where permitted by law and venue policy
Remove you from the Event
Revoke credentials or Tickets
Prohibit future attendance
Pursue legal remedies where appropriate
Professional Equipment & Commercial Use
Professional cameras, detachable lenses, tripods, monopods, gimbals, drones, or professional audio gear may be prohibited unless you have prior written authorization.
Commercial recording, brand activations, influencer filming for paid partnerships, media production, or any use that interferes with operations requires Atuiqe’s written approval.
Atuiqe’s Right to Record
Atuiqe may record the Event for safety, operations, and promotional purposes, including livestreaming, and may capture crowd footage and individual images. If you do not wish to be recorded, do not enter the Event footprint.
21. ASSUMPTION OF RISK; RELEASE; WAIVER
You acknowledge and agree that attendance at an Event and participation in any Event-related activities involve inherent and non-inherent risks, whether known or unknown, foreseeable or unforeseeable, including but not limited to: personal injury, serious bodily injury, death, illness, communicable disease, allergic reactions, theft, loss or damage of personal property, crowd-related incidents, weather conditions, temporary structures, sound and lighting effects, third-party acts or omissions, and the negligence of other attendees or third parties.
You voluntarily and expressly assume all such risks, whether arising before, during, or after the Event, and whether caused by the actions, omissions, or negligence of other attendees, vendors, performers, sponsors, contractors, venue operators, or third parties.
To the fullest extent permitted by law, you hereby irrevocably waive, release, discharge, and covenant not to sueAtuiqe, LLC, and its past, present, and future parents, affiliates, subsidiaries, officers, directors, members, managers, employees, contractors, agents, representatives, sponsors, partners, vendors, performers, venues, licensors, successors, and assigns (collectively, the “Released Parties”) from any and all claims, demands, causes of action, damages, losses, liabilities, costs, or expenses of any kind, whether known or unknown, suspected or unsuspected, arising out of or relating in any way to your attendance at or participation in the Event, except to the limited extent prohibited by applicable law.
22. INDEMNIFICATION; DUTY TO DEFEND
You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, actions, suits, proceedings, damages, judgments, losses, liabilities, penalties, fines, costs, and expenses(including reasonable attorneys’ fees, expert fees, and court costs) arising out of or related to:
Your attendance at or conduct in connection with an Event;
Your violation of these Terms or any Event, venue, or safety rules;
Your violation of any law or regulation;
Your infringement or alleged infringement of any intellectual property, privacy, or other rights of any third party; or
Any claim brought by or on behalf of a minor or guest accompanying you.
This indemnification obligation includes a duty to defend the Released Parties and survives the conclusion of the Event and termination of these Terms. Atuiqe reserves the right to assume exclusive control of the defense of any claim subject to indemnification, and you agree to cooperate fully in such defense.
23. LIMITATION OF LIABILITY; DAMAGES WAIVER
To the maximum extent permitted by law:
The Released Parties shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of enjoyment, loss of data, or emotional distress, even if advised of the possibility of such damages.
The total cumulative liability of the Released Parties for any claim arising out of or relating to the Event, the Tickets, or these Terms shall be strictly limited to the greater of (a) $100 or (b) the face value of the Ticket actually paid by you for the specific Event giving rise to the claim.
You acknowledge that this limitation of liability reflects a reasonable allocation of risk and forms an essential basis of the bargain between you and Atuiqe.
Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the maximum extent permitted by law.
24. FORCE MAJEURE; NO LIABILITY FOR UNCONTROLLABLE EVENTS
Atuiqe shall not be liable for any failure, delay, interruption, modification, rescheduling, relocation, or cancellation of an Event caused by circumstances beyond its reasonable control, including but not limited to: acts of God, weather conditions, fire, flood, earthquakes, pandemics, public health emergencies, government orders, venue restrictions, labor disputes, supply chain disruptions, power or internet outages, acts of terrorism, civil unrest, or security threats.
In any such event, Atuiqe’s obligations, including any refunds if offered, shall be limited as set forth in these Terms and applicable law.
25. ATUIQE BUSINESS SERVICES; NO GUARANTEE; NO AGENCY
Atuiqe provides professional event production and management services, which may include planning, staffing, vendor coordination, sponsorship fulfillment, ticketing operations, marketing coordination, permitting support, onsite operations, and logistics (“Atuiqe Business Services”).
You acknowledge and agree that:
Events may involve independent third-party venues, suppliers, contractors, performers, sponsors, and vendors, each operating under their own control and policies.
Atuiqe does not guarantee uninterrupted services, continuous access, specific performers, schedules, amenities, programming, weather conditions, or attendee experience.
Atuiqe is not responsible for failures or actions of third parties, including ticketing platforms, payment processors, venues, transportation providers, or contractors.
Nothing in these Terms shall be deemed to create any partnership, joint venture, fiduciary, or agency relationshipbetween you and Atuiqe.
26. INTELLECTUAL PROPERTY; NO LICENSE
All trademarks, service marks, logos, branding, content, and materials associated with Atuiqe and the Events are owned by Atuiqe or its licensors. No license or rights are granted to you except the limited right to attend the Event. Any unauthorized use is strictly prohibited.
27. UPDATES; ASSIGNMENT; NO WAIVER; SEVERABILITY
Atuiqe may update these Terms at any time. Atuiqe may assign these Terms without restriction. You may not assign these Terms without Atuiqe’s prior written consent. Any failure by Atuiqe to enforce a provision shall not constitute a waiver. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
28. DISPUTES; ARBITRATION; CLASS ACTION WAIVER
PLEASE READ CAREFULLY. THIS AFFECTS YOUR LEGAL RIGHTS.
28.1 Informal Resolution
Before initiating arbitration or litigation, you must first notify Atuiqe by emailing legal@atuiqe.com with a detailed description of the dispute and proposed resolution.
28.2 Mandatory Individual Arbitration
Except for qualifying small claims matters, all disputes shall be resolved exclusively by binding individual arbitration, not in court, and not on a class or representative basis.
28.3 Class Action Waiver
You expressly waive any right to bring or participate in any class action, collective action, representative action, or class arbitration.
28.4 Small Claims
If a claim qualifies for small claims court, it may be brought only in King County, Washington, on an individual basis.
29. EXCLUSIVE VENUE — SEATTLE / KING COUNTY, WASHINGTON
If arbitration does not apply or is held unenforceable, any court proceeding must be brought exclusively in King County, Washington (Seattle). You irrevocably consent to personal jurisdiction and venue in such courts and waive any objection based on forum non conveniens or improper venue.
30. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict-of-laws principles. The Federal Arbitration Act governs the arbitration provisions.
